SimCorp AS, a Danish software business, will receive a voluntary acquisition offer from Deutsche Boerse SE on Thursday for a total of 3.9 billion euros ($4.31 billion).
A 45.3% premium over the three-month volume-weighted average price of DKK505.73 as of April 26 and a 38.9% premium over the closing price of DKK529 are represented by the all-cash offer of DKK735 ($108.86) per share, according to the firm. Treasury stock isn’t included in the offer.
“The combination of SimCorp’s highly complementary business offering with Deutsche Boerse’s Data & Analytics businesses will create a full scope front-to-back investment management solutions platform,” said Deutsche Boerse.
According to Deutsche Boerse, the SimCorp Board of Directors unanimously decided to advise the company’s shareholders to accept the Offer.
According to Deutsche Boerse, a bridging credit was obtained to finance the offer.
